Yes! R17’s invests $25,000 upfront in all accepted companies, and up to $175,000 more in two (optional / not guaranteed) subsequent rounds for a total of $200,000.
The investment framework is structured through three Simple Agreements for Future Equity (SAFEs). Acceptance of SAFE 1 grants Resilience17 the rights to invest up to $200,000 for 10% equity in the company.
SAFE 1: $25,000
Acceptance of SAFE 1 includes agreement to subsequent investments up to $200,000 total, at a $2,000,000 valuation cap.
SAFE 1 funds will be transferred to the company at Kickoff Week.
SAFE 2: $50,000 - $75,000 (optional)
Consideration for SAFE 2 happens after Demo Day providing a quick capital boost to support growth.
SAFE 3: Up to the remaining balance of $200,000 (optional)
SAFE 3 will be invested during any subsequent external fundraising rounds of $250,000 or more, to help you scale your operations.
The decision to invest beyond SAFE 1 is at our discretion and is not promised or obligated.
If no additional investment is made after SAFE 1 ($25,000), upon a conversion event, such as when the company raises a priced equity round (usually Seed to Series A), or is acquired, the SAFE would convert to Preferred Shares equal to 1.25% of the total company equity.
Any investment amount above $25,000, up to $200,000, converts to equity based on the $2,000,000 valuation cap.
